Information presented on the Site is for general informational purposes only and does not constitute a formal proposal or contractual offer unless expressly stated otherwise. Detailed terms governing specific Services are set forth in separate service agreements entered into between Young Services, LLC and its clients.
In the event of any inconsistency between these Terms and a signed service agreement, the signed service agreement shall govern with respect to the subject matter of that agreement. Nothing on this Site shall be construed as a promise or guarantee of specific results, and any case studies or examples provided are for illustrative purposes only and do not represent typical outcomes that every client can expect to achieve.
3. Website Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the Site. You must not use the Site in any way that could damage, disable, overburden, or impair our servers or networks. Prohibited behaviour includes transmitting viruses, worms, trojan horses, or any other malicious or disruptive code; attempting to gain unauthorised access to any part of the Site, its server systems, or any connected networks; engaging in any form of automated data collection, including scraping, crawling, or spidering, without our express written permission; interfering with the proper functioning of the Site; and using the Site for any fraudulent, unlawful, or deceptive purpose.

4. Intellectual Property Rights
4.1 Site Content

4.2 Limited License

You may not reproduce, modify, distribute, or create derivative works from Site content without our prior written consent.
4.3 Client Deliverables
Upon full payment for Services, ownership of specific deliverables created pursuant to a signed service agreement transfers to the client as set forth in that agreement. Young Services retains all rights in its pre-existing materials, methodologies, frameworks, and tools used in creating such deliverables, and grants the client a perpetual, non-exclusive, non-transferable license to use such pre-existing materials as incorporated into the deliverables for the client's internal business purposes.
No transfer of intellectual property rights occurs until full payment has been received for the applicable Services. In the event of early termination of a service agreement, ownership of work product completed up to the date of termination shall be determined in accordance with the terms of the governing service agreement.
5. Confidentiality
Both Young Services and its clients acknowledge they may receive confidential information during their relationship. Confidential information includes business plans, technical data, system architectures, financial information, and any information designated as confidential or reasonably understood to be confidential based on its nature and the circumstances of disclosure. Each party agrees to hold the other's confidential information in confidence, use it solely for the engagement purposes, and disclose it only to those with a need to know who are bound by comparable confidentiality obligations. These obligations survive termination of any service agreement for a period of five years, or indefinitely for trade secrets and proprietary methodologies.
6. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE ON OR THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUNG SERVICES, LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
YOUNG SERVICES DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOUNG SERVICES, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THE SERVICES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
WITHOUT LIMITING THE FOREGOING, THE AGGREGATE LIABILITY OF YOUNG SERVICES ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF FIVE HUNDRED DOLLARS (USD 500.00) OR THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify and hold harmless Young Services, LLC, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, and expenses arising out of your use of the Site, your violation of these Terms, or your violation of applicable law. We reserve the right to assume the defence of any matter subject to indemnification at your expense.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall first be submitted to mediation in Garfield County, Colorado. If mediation does not resolve the dispute within 60 days, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration to be held in Glenwood Springs, Colorado. Notwithstanding the foregoing, Young Services may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
10. General Provisions
10.1 Entire Agreement
These Terms constitute the entire agreement between you and Young Services regarding your use of the Site and supersede all prior agreements and understandings.
10.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. All waivers must be in writing.
10.4 Assignment
You may not assign these Terms without our prior written consent. Young Services may assign these Terms without restriction, including in connection with a merger or acquisition.
10.5 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Young Services. Neither party may bind the other.
10.6 Force Majeure
Young Services shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, strikes, power outages, or cyber attacks.
10.7 Notices

11. Termination
We reserve the right to suspend or terminate your access to the Site at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease, and you must cease all use of the Site and destroy any copies of materials obtained from the Site.
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, confidentiality obligations, governing law provisions, and dispute resolution terms. You agree that Young Services, LLC shall not be liable to you or any third party for any termination of your access to the Site.
